1. Acceptance of Terms

Welcome to ZEHN Wipes, an online store operated by ZEHN Wipes (“ZEHN,” “we,” “us,” or “our”). By accessing our website or purchasing our sanitizing wipes (the “Products”), you agree to be bound by these Terms and Conditions (“Terms”) as well as our Privacy Policy (see below) and our Refund & Returns Policy (see below), which are incorporated herein by reference. These Terms constitute a binding legal agreement between you (the individual or business entity using the site, referred to as “you” or “Customer”) and ZEHN. If you do not agree with any of these Terms, you must not use our website or services.

We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify users by posting the updated Terms with a new “Last Updated” date and/or via other communication. Your continued use of the site or purchase of Products after any changes indicates acceptance of the updated Terms.

2. Eligibility and Account Registration

Age Requirements: You must be at least 18 years old (or the age of majority in your jurisdiction) to make a purchase on our site or to create an account. The site and our services are not intended for children under 13, and we do not knowingly collect personal information from anyone under 13 years of age. If you are 13–17 years old, you may use the site only with the involvement and consent of a parent or legal guardian, and that adult will be responsible for your use. By using our site, you represent and warrant that you meet these age requirements and are legally competent to agree to these Terms.

Account Registration: To purchase Products or access certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration and at all other times. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. ZEHN will not be liable for any loss or damage arising from your failure to safeguard your credentials.

Business Accounts: If you create an account or purchase on behalf of a company or other organization, you represent that you have the authority to bind that entity to these Terms, and in that case, “you” includes the business you represent. Business or commercial customers are not considered “consumers” for certain legal purposes, and some consumer-specific rights or protections may not apply to such business users in accordance with applicable law.

3. Permitted Use of Site and Prohibited Activities

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website and content for your own personal or internal business use in purchasing Products or learning about our offerings. Any other use of the site or content is strictly prohibited without our prior written consent. You agree that you will NOT use the site or services in any of the following ways:

  • Illegal or Unauthorized Purposes: You will not use the site for any purpose that is unlawful or prohibited by these Terms. You will not solicit the performance of any illegal activity or encourage others to engage in any activities that could violate any law or regulation.

  • Interference with the Site: You will not attempt to interfere with or disrupt the operation of the site or the servers or networks used to make the site available. This includes not introducing any viruses, worms, malware, or any other code that is malicious or technologically harmful.

  • Unauthorized Access: You will not attempt to gain unauthorized access to any portion or feature of the site, other accounts, computer systems, or networks connected to the site, through hacking, password mining, or any other illegitimate means.

  • Data Mining and Scraping: You will not use any robot, scraper, crawler, or other automated means to access the site for any purpose without our express written permission. You also agree not to (a) use any device or software to interfere with the proper working of the site, or (b) bypass any measures we may use to prevent or restrict access to the site.

  • Impersonation and Misrepresentation: You will not impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity, in connection with your use of the site. All information you provide must be truthful and you may not use false identities or details.

  • Harassment or Harm: You will not use the site to transmit or post any material that is defamatory, harassing, threatening, abusive, obscene, or that could give rise to any civil or criminal liability under applicable law.

We reserve the right to monitor, log, and record any activity on our site and to take appropriate action if we suspect any misuse. Violation of this section may result in termination of your account or access to the site (see Section 12 below), and may also expose you to civil and criminal liability.

4. Products, Orders, and Payment Terms

Product Information: We strive to ensure that all descriptions, images, and specifications of our sanitizing wipes and other Products on our site are accurate and up-to-date. However, we do not warrant that the product descriptions, pricing, or other content on the site are error-free, complete, or current. For example, minor differences in color or packaging may occur due to manufacturing changes or display differences. ZEHN reserves the right to correct any errors, inaccuracies, or omissions and to change or update information on the site at any time without prior notice (including after you have submitted an order).

Pricing and Taxes: All prices are listed in U.S. dollars unless otherwise stated. Prices do not include applicable taxes or shipping charges, which will be added at checkout. You are responsible for any sales, use, value-added, or similar taxes and duties imposed by any jurisdiction (other than taxes on ZEHN’s income). We reserve the right to change the prices of Products at any time, but such changes will not affect any order you have already placed and received confirmation for.

Order Process: By placing an order through our website, you are offering to purchase the Product(s) in your order, subject to these Terms. All orders are subject to acceptance by ZEHN. After you place an order, you will receive an email confirmation summarizing your order details. This email does not signify our acceptance of your order; it is simply an acknowledgment that we received it. We formally accept your order (and form a binding contract) when we charge your payment method and ship the Product to you. We reserve the right to refuse or cancel any order prior to acceptance for any reason, including for example: if a Product is out of stock, if we suspect a fraudulent or unauthorized transaction, if there was an error in pricing or product information, or if the order does not comply with these Terms or any applicable laws. If your order is refused or canceled after payment has been made, we will issue a refund in the amount charged.

Payment: We use third-party payment processors (such as credit card processors or payment gateways) to process payments. By submitting payment information, you grant us and our payment processors the right to process and store your information. You represent and warrant that the payment information provided is valid, and you are authorized to use the payment method. All payments must be made at the time of order (unless expressly agreed otherwise for certain business customers with pre-approved terms). If the payment processor declines your transaction or if your payment is reversed or charged back, your order will not be fulfilled, and we will have no obligation to ship the Product. ZEHN does not receive or store full credit card numbers; all transactions are handled through secure, PCI-compliant third-party systems.

Subscriptions (If Offered): If we offer any subscription or auto-replenishment service for our Products (for instance, periodic deliveries of wipes on a recurring basis), additional terms will apply to such programs. By enrolling in a subscription program, you authorize ZEHN or our payment processor to charge your provided payment method at the stated interval (e.g., monthly or quarterly) for the subscription orders. You may cancel a subscription at any time after any minimum required term (if specified) by contacting us or using any online account management features provided; cancellations will apply to future charges after processing your request (we may require notice at least a certain number of days before your next billing date to avoid being charged for that cycle). We will clearly disclose the pricing, frequency, and how to cancel any subscription service at the time you sign up, in compliance with applicable automatic-renewal laws. If we make any changes to subscription pricing or material terms, we will provide advance notice and an opportunity to cancel before the changes apply, as required by law.

Business-to-Business (B2B) Purchases: In addition to retail consumer sales, ZEHN may sell Products to business customers (e.g., companies purchasing in bulk). If you are purchasing as a business or for commercial use, you acknowledge that such purchases are not intended for resale unless explicitly agreed by ZEHN, and that you have reviewed the quantity and suitability for your needs. We may require a valid reseller’s permit or tax exemption certificate if applicable for wholesale transactions. Any additional or separate written agreement between your business and ZEHN (such as a distributor agreement or purchase order terms) will take precedence over these online Terms to the extent of any conflict, but in the absence of a separate signed agreement, these Terms apply to B2B purchases as well. Business purchasers are responsible for ensuring that the Products are used and stored in compliance with any regulatory requirements relevant to their industry or use-case (e.g., workplace safety standards for sanitizing products).

5. Shipping, Delivery, and Risk of Loss

Shipping and Handling: We will arrange shipment of the Products to you. Shipping methods and options will be presented at checkout. Any shipping or delivery dates provided are estimates only and not guaranteed. While we strive to meet indicated delivery times, there may be delays due to factors beyond our control (such as carrier delays, weather, supply chain issues, or unexpected demand). ZEHN is not liable for any such delivery delays. However, if a package is excessively delayed, please contact us and we will assist in tracking the shipment or replacing the item if it is deemed lost in transit.

Delivery; Title and Risk: We typically deliver to the shipping address you provide. Title to the Products and risk of loss or damage will pass to you upon delivery of the Products to your address (or upon shipment from our facility if otherwise dictated by applicable law or agreed in your order terms). This means that from the time the Products are delivered, you bear the risk for the Products, and you are responsible for any loss, theft, or damage thereafter. If an item arrives damaged or is missing, you must notify us promptly (and in any case within 5 days of delivery) so that we can assist in filing a claim with the carrier or provide a solution.

International Shipping: At this time, we primarily ship to addresses within the United States. If we offer international shipping in the future or on a case-by-case basis, you will be responsible for any import duties, customs fees, or taxes applicable to the delivery in the destination country, and you must comply with all import laws and regulations. International shipments may experience additional delays in customs. All international sales will be made F.O.B. origin (our shipping point), meaning title and risk pass to you when we give the Products to the carrier in the U.S., unless otherwise required by law.

Undeliverable Packages: If a shipment is returned to us as undeliverable (for example, due to an incorrect address or failure to pick up the package), we will notify you. You may be responsible for any reshipping fees if you request re-shipment to a corrected address. If you do not respond or the package remains undeliverable, we may treat the order as canceled. In such case, we may refund the product price, minus any shipping fees (and possibly restocking fees if applicable), provided the Products are received back in saleable condition.

6. Returns and Refunds

We want you to be satisfied with your purchase. If you are not completely happy with a Product, you may be eligible to return it under the terms of our Refund & Returns Policy (see below for full policy). The following is a summary of key points:

  • Return Period: You generally have 30 days from the date of delivery to initiate a return of eligible Products. We require proof of purchase (such as your order number or receipt) for all returns.

  • Condition of Products: To be eligible for a return, items should be in new, unused, and resalable condition, with all original packaging, seals, and labels intact. For sanitizing wipes, this means the container should be unopened to maintain hygiene and safety standards (we cannot accept returns of opened or partially used wipes, except where a quality issue is present).

  • Non-Returnable Items: Certain purchases may be final sale and not eligible for return. For example, bulk orders for businesses or custom large-volume orders may be non-returnable except in cases of defect or damage, as will be communicated at the time of purchase. Additionally, any item marked “Clearance” or “Final Sale” cannot be returned.

  • Return Process: To initiate a return, you must contact our customer support at [contact information] or follow the instructions on our website’s returns page. We may direct you to our online Return Merchandise Authorization (RMA) portal (we utilize integrated tools through our fulfillment partners ShipHero/Packiyo to streamline returns). You will need to enter your order information and reason for return. Once your return request is approved, we will provide you with return instructions, which may include a return shipping label you can print out.

  • Return Shipping Costs: If the return is due to our error or a defective product (e.g., we shipped the wrong item or the item arrived damaged), we will cover the return shipping cost or provide you a prepaid return label. If you are returning an item for other reasons (e.g., buyer’s remorse or no longer needed), you are responsible for the return shipping cost. In such cases, we can provide a return label for your convenience and deduct the shipping cost from your refund, or you may ship the item back using a trackable method of your choice.

  • Inspection and Restocking: After we receive your returned item, we will inspect it. If the item is not returned in the condition outlined (e.g., if it is used or missing parts not due to our error), we reserve the right to refuse the return or to charge a restocking fee. For authorized returns postmarked within 30 days of delivery in good condition, typically no restocking fee applies and you will receive a full refund of the purchase price. If we exceptionally allow a return beyond the 30-day window or of an item not in original condition, a restocking or disposal fee of (for example) 15-20% of the item’s price may be deducted from your refund.

  • Refund Method and Timing: Approved refunds will be issued to the original payment method (e.g., the same credit card used for purchase) once the returned item is received and processed. Please note that it may take 5-10 business days after we process the refund for it to reflect on your account, depending on your bank or credit card issuer. If the original payment method is unavailable (for example, the account is closed), we will work with you to find an alternative method (such as store credit or a mailed check). Original shipping charges (if any) are generally non-refundable, except where required by law or if the return is due to our error.

  • Exchanges: We do not automatically process direct exchanges. If you wish to exchange a product for a different item, please initiate a return for the original item (if eligible) and place a new order for the desired product. Alternatively, contact our support and we will assist if possible.

  • Business Customer Returns: If you purchased Products for business use or in bulk, our standard return policy applies unless otherwise negotiated. However, we reserve the right to handle such returns on a case-by-case basis. In some cases, returns of large volume orders may be subject to a higher restocking fee or may be ineligible for return if stated at time of sale, except for defective merchandise. We encourage our business customers to request a smaller sample order first if they are unsure about product suitability.

Nothing in these Terms or our return policy is intended to violate any consumer rights laws; if you are entitled to a return or refund under applicable law even outside of our stated policy, we will honor our legal obligations.

7. Intellectual Property Rights

Ownership of Site Content: All content on the ZEHN website – including text, descriptions, graphics, logos, button icons, images, audio clips, videos, software, and their arrangement – is the property of ZEHN or its content suppliers and is protected by United States and international intellectual property laws (including copyright, trademark, and trade dress laws). The compilation of all content on this site is the exclusive property of ZEHN. All brand names, logos, and product names associated with ZEHN Wipes are our trademarks (whether registered or unregistered) or the trademarks of our licensors or partners. You do not acquire any ownership rights by using the site or buying our Products.

Limited License to Users: You are permitted to display, print, and download copies of content from the site for your own legitimate personal or internal business use in connection with shopping or ordering our Products. However, you must not remove or alter any copyright, trademark, or other proprietary notices from copies of content. Any unauthorized copying, reproduction, modification, republication, uploading, posting, transmitting, or distribution of site content is strictly prohibited. You also may not use any meta tags or other “hidden text” utilizing our name or trademarks without our express written consent.

Feedback and Submissions: If you submit suggestions, ideas, reviews, testimonials, or other feedback to us regarding our Products or site (“Feedback”), you hereby grant ZEHN a worldwide, perpetual, irrevocable, sublicensable, royalty-free license to use and incorporate such Feedback for any purpose, including to improve our Products or services, without any obligation to compensate you. We do not claim ownership of any original content you post or submit (for example, if you leave a product review, you retain ownership of your words); however, by posting content on our site or via our social media, you grant us the right to use, reproduce, and display that content in connection with our business (for example, by reposting a positive review in our marketing materials), with appropriate credit to you if we deem it appropriate.

8. User-Generated Content and Reviews

Our site may allow customers to post reviews, comments, or other content in certain areas (for instance, product review sections or blog comments). If you choose to contribute any content, you agree to the following terms:

  • Appropriate Content: Any content you post must be honest, based on your real experience (if it is a review), and must not be unlawful, obscene, defamatory, threatening, infringing of intellectual property rights, invasive of privacy, or otherwise injurious or objectionable. It also must not contain any malware, commercial solicitation, or any form of “spam.” We reserve the right (but not the obligation) to remove or edit any user content that violates these standards or for any other reason at our sole discretion.

  • Your Responsibility: You assume all responsibility for any content you post. Do not post personal data that you do not wish to be public. If you post content, you represent and warrant that you own or control all rights to that content, and that its use by ZEHN will not violate any third-party’s rights. You agree to indemnify ZEHN for all claims resulting from content you post (see Indemnification below).

  • License to ZEHN: By posting any content, you grant ZEHN a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. This license is necessary for us to legally display and operate with the content you post (for example, to display your review on our site, or to include it in marketing). You also grant other users of the site or service the right to access your content in connection with their lawful use of our services (for example, other users can read your reviews).

  • No Endorsement: User-generated content (such as reviews) is solely the opinion of the person posting. ZEHN does not endorse or guarantee the accuracy or reliability of any user content. We are not responsible for any mistakes, defamation, obscenity, or illegal content that you or others post, and the risk of harm or damage from such content rests entirely with you. However, if you notice content that violates these Terms or the law, you can report it to us at our contact information below.

9. Third-Party Websites and Services

Our website and communications may contain links to third-party websites or services (for example, links to articles, social media pages, or partner services). Additionally, some of our integrations (such as our shipping/tracking pages or marketing sign-up forms) may be powered by third-party platforms (e.g., a ShipHero returns portal or GoHighLevel form). These third-party sites and services are not under our control, and we are not responsible for the content, policies, or practices of any linked third-party website. The inclusion of any link or integration does not imply an endorsement by ZEHN of that third party or their service.

If you visit or use a third-party site or service (even one connected to our operations), you do so at your own risk. We encourage you to review the terms and privacy policies of any third-party site you interact with. Note that your use of third-party services may also be subject to the third party’s terms of use – for example, if we use a third-party payment processor, your transactions may also be governed by your agreement with that processor. Nothing in our Terms limits any terms or disclaimers of third-party providers.

10. Disclaimer of Warranties

Products “As Is”: Except as explicitly set forth in any written warranty or guarantee provided with a Product (for example, any manufacturer’s warranty that comes with the product, if applicable), all Products are provided on an “as is” and “as available” basis, without any express or implied warranties from ZEHN. To the fullest extent permitted by law, ZEHN disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. This means that we do not promise the Products will be fit for your particular needs (beyond the ordinary purposes of such goods) or that they will meet any specifications not set forth by us in writing.

Site “As Is”: Similarly, while we aim to provide a secure and functional website, we do not warrant that the site or any content, service, or feature of the site will be error-free, uninterrupted, or free of viruses or other harmful components. You assume full responsibility for your use of the site and any linked sites. Any material downloaded or otherwise obtained through the use of our site is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results. ZEHN makes no warranties that the information on the site (including product descriptions or health-related information) is accurate, complete, or useful. It is provided for general information only and is not a substitute for professional advice. For example, while our sanitizing wipes are designed to kill germs on surfaces, we make no medical or health guarantees; always follow usage instructions and use common sense in application.

No Other Warranties: No advice or information, whether oral or written, obtained by you from ZEHN or through the site or Products shall create any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, so to the extent such law applies to you, some of the above exclusions may not apply. In such cases, our warranties are limited to the minimum scope and period permitted by law.

11. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall ZEHN or its officers, directors, employees, agents, affiliates, or suppliers be liable to you or any third party for any indirect, incidental, consequential, special, exemplary, or punitive damages whatsoever arising out of or related to the use of or inability to use the Products or the site, even if ZEHN has been advised of the possibility of such damages. This includes, without limitation, damages for loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or any other commercial or personal damages or losses.

Our total liability to you for all claims arising from or related to the Products or these Terms, whether in contract, tort (including negligence), strict liability or otherwise, shall not exceed the total amount paid by you to ZEHN for the specific Product or order at issue, or one hundred U.S. dollars (US $100), whichever is greater. If the claim does not relate to a specific product or paid transaction, our maximum aggregate liability will be $100. Each provision of these Terms that provides for a limitation of liability is intended to and shall allocate the risks between the parties under these Terms. This allocation is reflected in the pricing of Products and is an essential element of the basis of the bargain between us.

Application to B2B Customers: If you are using the Products or site for business purposes, you acknowledge that we will not be liable for any business-related damages, such as lost profits or business opportunities, or any incidental or consequential damages related to your business operations. In particular, ZEHN shall not be liable for any damage to equipment, facilities, or other assets, nor for claims by your clients or customers, resulting from the use or misuse of the Products. You are responsible for ensuring that the Products are suitable for your intended use and for implementing proper safety and use protocols in your business. Any remedy you have against ZEHN shall be limited to direct damages (subject to the cap stated above).

Exceptions: Nothing in these Terms shall limit or exclude our liability for any liability that cannot be disclaimed under law. For instance, this disclaimer of liability does not apply to ZEHN’s liability for personal injury or death caused by our gross negligence or willful misconduct, or for fraud. Additionally, some states or jurisdictions do not allow exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless ZEHN and its parent, affiliates, officers, directors, shareholders, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with: (a) your use or misuse of the site or Products; (b) your violation of these Terms or any policy referenced herein; (c) your violation of any applicable law or regulation (including, without limitation, any local consumer protection or data privacy law); (d) any content you post or submit (including claims of infringement, defamation, or other harms arising from that content); or (e) your breach of any rights of another, including any intellectual property, confidentiality, or privacy rights.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter). In such case, you agree to cooperate with our defense of those claims. You agree not to settle any such matter without the prior written consent of ZEHN. This indemnification obligation will survive any termination or expiration of these Terms and your use of the site or Products.

13. Termination and Suspension

By ZEHN: We may terminate or suspend your account or access to our site and services, with or without prior notice, if we believe, in our sole discretion, that you have violated these Terms or any applicable law, or for other reasons, including inactivity of an account or technical/security issues. We may also discontinue the website or any portion of it, or any of the Products or services, at any time for any reason. If we terminate your account due to a breach of these Terms, you remain liable for any amounts due (if applicable) up to the date of termination, and termination shall not limit any other rights or remedies we may have at law or equity.

By You: You may stop using our services at any time. If you wish to terminate your account, you may do so by contacting us. Closing an account will not affect any rights or obligations incurred prior to closure (for example, any orders already placed will still be fulfilled under these Terms).

Effect of Termination: Upon any termination of these Terms, the rights and licenses granted to you will immediately terminate and you must cease all use of the site and content. However, the provisions of these Terms which by their nature should survive termination (such as intellectual property provisions, disclaimers, indemnities, limitations of liability, and governing law) shall continue in effect.

14. Governing Law

These Terms and any dispute arising out of or relating to these Terms, the site, or the Products (including non-contractual claims or disputes) shall be governed by and construed in accordance with the laws of the State of Utah, USA, without regard to its conflict of law principles. However, if you are a consumer resident outside of Utah, this choice of Utah law does not deprive you of the protection of the laws of your jurisdiction which cannot be waived by contract—meaning, you will still be entitled to any mandatory consumer protections under the law of your state of residence.

15. Dispute Resolution and Arbitration

Binding Arbitration (Consumers): If we cannot resolve a dispute through good-faith negotiation, and if you are a customer using the Products for personal or household use (a “consumer”), you and ZEHN agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Products or site shall be finally resolved by binding arbitration on an individual basis, except as set forth under “Exceptions to Arbitration” below. This means you are waiving your right to a jury trial and to participate in a class action for such disputes. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (if you are an individual consumer) or the Commercial Arbitration Rules (if related to a business transaction), as modified by these Terms. The arbitrator will have exclusive authority to resolve any dispute regarding the arbitrability or enforceability of this arbitration agreement, including any unconscionability challenge or any other challenge that the arbitration agreement or Terms are void, voidable or otherwise invalid.

Arbitration Procedures: To begin an arbitration proceeding, the initiating party must send a letter requesting arbitration and describing the claim to the other party. For ZEHN, send notice to our mailing address provided in the Contact section. The arbitration will be conducted by a single, neutral arbitrator. For consumer claims, the arbitration will take place in a reasonably convenient location for you (or in another location mutually agreed upon) or via telephone or videoconference, as appropriate. The AAA’s rules will govern payment of all arbitration fees. If you are a consumer bringing a good-faith, non-frivolous claim, we will pay the portion of the arbitration fees that exceed the cost of filing a lawsuit in state court (whichever is lower) and will not seek attorneys’ fees from you. The arbitrator can award any relief that a court could award, including individual injunctive relief and attorneys’ fees if provided by law. The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions to Arbitration: Either party may choose to pursue a claim in court and not by arbitration if the claim qualifies for resolution in small claims court (if within the court’s jurisdictional limits) or for equitable relief regarding intellectual property (e.g., seeking an injunction to protect intellectual property rights). Additionally, if applicable law prohibits mandatory arbitration of certain disputes (such as certain claims under specific statutes), such disputes will be excluded from this arbitration agreement and can be brought in court.

Opt-Out Right: You have the right to opt out of the binding arbitration provision within 30 days of first accepting these Terms by notifying us in writing at [contact address or email] with the subject line “Arbitration Opt-Out” and your name and account/email used for ZEHN. If you do so, neither you nor ZEHN can require the other to participate in arbitration proceedings. (The opt-out does not affect any other provisions of these Terms.)

Class Action Waiver: To the fullest extent permitted by law, you and ZEHN agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Further, unless both you and ZEHN agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding. If this class action waiver is found unenforceable, then the entirety of the arbitration agreement shall be null and void, and the dispute may be brought in court.

Business Users: If you are using the site or buying Products for business or commercial purposes (not as an individual consumer), the above agreement to arbitrate does not apply unless separately agreed. For business-to-business transactions, any disputes that cannot be resolved informally shall be resolved in the state or federal courts located in the State of Utah, and both you and ZEHN consent to venue and personal jurisdiction in Utah. In any such court action, the parties waive any right to a trial by jury.

16. Miscellaneous Provisions

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms shall remain in full force and effect. The invalid provision shall be deemed modified to the narrowest extent required to make it enforceable, if possible.

No Waiver: No failure or delay by ZEHN in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right or any other right. Similarly, ZEHN’s waiver of any breach or default of these Terms will not constitute a waiver of any subsequent breach or default. All waivers must be in writing to be effective.

Entire Agreement: These Terms, together with our Privacy Policy and Refund & Returns Policy and any other policies or rules that we expressly incorporate by reference, constitute the entire agreement between you and ZEHN regarding the subject matter hereof, and supersede any prior or contemporaneous communications and proposals, whether oral or written, between the parties (including any prior versions of the Terms). You acknowledge that you have not relied on any representation, promise, or statement not expressly set out in these Terms.

Assignment: ZEHN may assign or transfer its rights and obligations under these Terms (in whole or in part) to an affiliated entity or as part of a merger, acquisition, sale of business or assets, or by operation of law. You may not assign, transfer, or sublicense any or all of your rights or obligations under these Terms without our prior express written consent. Any unauthorized assignment by you shall be null and void.

Third-Party Beneficiaries: Except as expressly provided in these Terms, there are no third-party beneficiaries to this agreement. These Terms are for the benefit of you and ZEHN (and our respective successors and assigns) only.

Force Majeure: ZEHN will not be liable for any delay or failure to perform any obligation (except payment obligations) if the delay or failure is due to unforeseen events beyond our reasonable control, such as acts of God, natural disasters, war, terrorism, civil disorder, labor disputes, supply disruptions, power outages, or Internet/service provider failures, or any other event that renders performance commercially impracticable.

Headings and Interpretation: Section headings in these Terms are for convenience only and have no legal or contractual effect. Words like “including” or “for example” shall be deemed to be followed by “without limitation.”
